Terms of Service

These Terms govern your use of ClickWise at getclickwise.app (the “Service”), operated by VistaOpps (“we,” “us”). By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you confirm you are authorized to accept these Terms on its behalf.

1. What ClickWise does

ClickWise reads your business website and uses software, including artificial intelligence, to prepare Google Ads campaigns: ads, keywords, sitelinks, images and budget suggestions. With your permission it can connect to your own Google Ads account to manage those campaigns and report on results. Features may change as we improve the Service.

2. Your account

• Provide accurate information and keep your password and authenticator device secure. Two-step verification is required.
• You are responsible for activity under your account. Tell us promptly at vincent@vistaoppsnet.com if you suspect unauthorized access.
• You must be at least 18 and able to form a binding contract.

3. Your Google Ads account and ad spend

• Your ads run in your own Google Ads account. Google bills you directly for advertising; those charges are between you and Google and are separate from any ClickWise fees.
• You are responsible for your Google Ads account, your billing settings and your budget. ClickWise works within the budget you set, but Google may spend up to twice your daily budget on some days under its own rules.
• Your use of Google Ads is also governed by Google’s terms and advertising policies. Google may reject ads or limit accounts at its discretion.
• You can disconnect ClickWise from your Google account at any time.

4. Review before launch

AI-generated ads, keywords and images can contain mistakes. You are responsible for reviewing and approving campaign content before it runs, and for making sure it is accurate and lawful, including any claims about prices, services, credentials, insurance or results. Campaigns are created paused until you approve them.

5. Your content

You keep ownership of your website content, logos and other materials. You grant us a license to use them only to provide the Service to you. You confirm you have the rights to the website and materials you submit. Campaign text and images we generate for you are yours to use in your advertising.

6. Acceptable use

Do not use the Service to advertise anything illegal or prohibited by Google’s policies, to infringe others’ rights, to submit websites you are not authorized to represent, or to interfere with or attempt to gain unauthorized access to the Service or other accounts.

7. Fees

Paid plans, if you choose one, are billed as described at checkout and renew until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are not refundable. We will give notice before changing prices for an existing subscription.

8. No guaranteed results

Advertising results depend on many factors outside our control, including competition, Google’s systems and your business. Estimates of clicks, leads or costs are illustrative. We do not guarantee any particular result.

9. Availability and changes

We aim to keep the Service available but do not promise it will be uninterrupted or error-free. We may modify or discontinue features, and will give reasonable notice of material changes that affect paid plans.

10. Ending your use

You may stop using the Service and ask us to delete your account at any time. We may suspend or end access if you breach these Terms, misuse the Service, or if required by law. Sections that by their nature should survive (such as 5, 8, 11 and 12) continue after termination.

11. Disclaimers and limitation of liability

The Service is provided “as is” and “as available,” without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, VistaOpps will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or advertising spend. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the claim.

12. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in New Jersey.

13. Changes to these Terms

We may update these Terms. If changes are material, we will notify you by email or in the app before they take effect. Continued use after that date means you accept the updated Terms.
